Sponsored by Patrick T. McHenry (R)
To amend the Securities Exchange Act of 1934 to specify certain registration statement contents for emerging growth companies, to permit issuers to file draft registration statements with the Securities and Exchange Commission for confidential review, and for other purposes.
Would have let emerging growth companies file two years of financial statements instead of three, and allowed confidential draft filings with the SEC.
Tradeoff
Would have let companies submit draft registration statements to the SEC privately before going public. Would have cut the required financial history for emerging growth companies from three years to two.
